Terms of Service
Welcome to Adamic. These Terms of Service (the "Terms") are a binding agreement between you and [Adamic Inc.] ("Adamic", "we", "us" or "our"), located at [registered address, Delaware, USA]. They govern your use of the Adamic website, apps and multilingual meeting service (together, the "Service"). Please read them carefully. Section 13 contains an arbitration agreement and a class-action waiver that affect how disputes are resolved.
1. Acceptance of these Terms
By creating an account, joining a meeting, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Recording & Consent Policy, our Biometric & Voice Data Policy and our Children's Privacy Policy, which are incorporated by reference (meaning they form part of these Terms as if they were written out here). If you use Adamic on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for that organization, and "you" includes the organization.
At sign-up you must tick a box confirming that you agree. We record the version of the Terms you accepted and the time you accepted it. If you do not agree, do not use the Service.
2. Description of the Service
Adamic is a video-conferencing service that helps people who speak different languages meet in real time. Its main features are:
- Live meetings carried over our own media relay. Your audio and video travel over an encrypted connection (HTTPS/WSS) to servers we operate, which forward them to the other participants. We do not use a third-party video provider.
- AI translation. Speech is transcribed by an automatic speech-recognition model, translated by a large language model and, where you choose, spoken aloud by a text-to-speech voice. Captions, chat messages, shared documents, whiteboard notes and polls are translated into each reader's chosen language.
- Recording and meeting intelligence. With participant consent, meetings are recorded and an AI-generated summary with action items is produced after the meeting.
- Business features such as organizations, host controls, a live rooms dashboard, room history and action-item tracking.
We may add, change or remove features over time. If we remove a feature you have paid for in a way that materially reduces the Service, you may cancel and receive a pro-rated refund for the unused period.
3. Eligibility
You must be at least 13 years old to create an account. We ask for your date of birth at sign-up and will not create an account for anyone younger than 13. If you live in the European Economic Area, the United Kingdom or another country where the age of digital consent is higher than 13 (we treat it as 16 unless local law sets a different age), and you are under that age, a parent or legal guardian must approve your account before you can join calls. Our Children's Privacy Policy explains how this works. You may not use the Service if you have previously been banned from it, or if using it would break the law where you live.
4. Your account and its security
You must give accurate information when you register and keep it up to date. You are responsible for keeping your password confidential and for everything that happens under your account. Sign-in sessions are kept in secure, HTTP-only cookies, which means scripts running on a web page cannot read them. Tell us immediately at legal@adamic.io if you believe someone has accessed your account without permission. We may lock an account temporarily after repeated failed sign-in attempts to protect it.
5. Acceptable use
You agree not to use Adamic, and not to let anyone else use your account, to:
Share prohibited content in rooms, chat, documents, whiteboards or recordings, including content that:
- is illegal, or promotes or facilitates illegal activity;
- sexually exploits or endangers children in any way;
- harasses, threatens, bullies or incites violence or hatred against any person or group;
- infringes anyone's intellectual property, privacy or publicity rights;
- contains malware, phishing links or other harmful code;
- is sexually explicit and shown to people who have not agreed to see it.
Engage in prohibited conduct during meetings, including:
- joining a meeting you were not invited to, or "meeting bombing" (deliberately disrupting a meeting);
- recording, photographing or capturing a meeting outside of Adamic's built-in recording without the consent of everyone present where the law requires it;
- impersonating another person or misrepresenting your affiliation;
- using the AI translation to deceive people about what someone said;
- attempting to bypass host controls, participant limits, seat limits or the consent screens.
Misuse the platform, including probing, scanning or testing the vulnerability of our systems, overloading our relay, scraping data, reverse engineering the Service except where the law allows it, or reselling access without our written permission.
We may remove content and suspend accounts that break these rules (see Section 12).
6. AI translation disclaimer
Translations, captions, synthesized voices, summaries and action items in Adamic are generated by artificial intelligence. They are produced automatically, in a fraction of a second, without human review. They can be incomplete, inaccurate, or wrong in meaning, tone or attribution, especially with background noise, overlapping speech, accents, names, numbers, technical terms or idioms.
Adamic is not a substitute for a certified professional interpreter or translator. Do not rely on Adamic's translations for legal proceedings, medical consultations or diagnoses, financial or investment decisions, immigration matters, contracts, safety-critical instructions, or any other situation where a misunderstanding could cause harm. In those situations, use a qualified human interpreter. If something important was said, confirm it in writing in a language both sides understand. To the fullest extent the law allows, we are not responsible for decisions made on the basis of AI output.
Adamic Concierge. Concierge is an AI assistant that gives you private answers, recaps, suggested action items and, for hosts, private suggestions. Its output is generated automatically and may be incomplete, inaccurate or out of date, even when it cites the meeting. It can also mix in general knowledge, which it labels as such. Check anything important before relying on it, and never use it as a substitute for professional advice. Concierge never speaks or posts in a meeting on your behalf; you are responsible for anything you choose to share from it.
7. Meeting recording rules
Recording is built into Adamic and is governed by our Recording & Consent Policy. In short:
- Every participant sees a recording notice before recording includes them, and must choose "Join & consent", "Join without being recorded" or "Leave". A red REC badge stays visible for the whole meeting.
- Anyone can choose "Stop recording me" at any time. From that moment their audio, video and transcript lines are left out of the recording.
- Hosts can see who has declined. Hosts must not pressure people to consent.
- You must not use any other tool to record a meeting unless everyone present has agreed and the law allows it.
You are responsible for making sure that your use of recordings, for example sharing them outside your organization, complies with the law and with any obligations you owe to the people recorded.
8. Ownership of your content
You own your content. "Your content" means everything you or your organization put into Adamic: what you say and show in meetings, recordings, transcripts, chat messages, documents, whiteboards, notes and polls. If you use Adamic through an organization, the organization and its members control the content created in its rooms, as set out in your organization's own policies.
You give Adamic a limited license (meaning permission) to host, store, copy, transmit, transcribe, translate, summarize and display your content, only as needed to operate, secure and improve the reliability of the Service for you. This license is worldwide and royalty-free (meaning we don't pay you for it), and it ends when your content is deleted, except for copies that the law requires us to keep or that remain in backups for a short time. We do not use your meeting content to train AI models, and we do not sell it. The Adamic software, brand and design belong to us and our licensors.
9. Responsibilities of hosts and moderators
Hosts and organization admins have extra controls: they can mute, remove, move or merge participants, run polls, and send meeting summaries. If you act as a host, you are responsible for using these controls fairly and lawfully, for making sure participants were properly invited, and for honoring participants' consent choices. Adamic provides the tools but does not monitor meetings in real time. We are not liable for how hosts or participants behave in meetings, or for content they share, except where the law says we cannot exclude that liability. You can report abuse to legal@adamic.io.
10. Plans, payment and subscriptions
Consumer plan. Free, for personal rooms with up to 10 participants.
Business plan. $39 per member per month when billed monthly, or $384 per member per year (the equivalent of $32 per month) when billed annually, with a minimum of 3 seats. A "seat" is one member of your organization. You cannot have more members than seats; you can add seats at any time, and changes are pro-rated (meaning you pay or are credited only for the part of the billing period that remains).
- Payment processor. Payments are handled by Stripe. We never see or store your full card number.
- Auto-renewal. Business subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us (through Stripe) to charge your payment method on each renewal.
- Cancellation. An organization admin can cancel at any time in Settings → Plan & billing or in the Stripe billing portal. Cancellation takes effect at the end of the current billing period; you keep Business features until then. Afterwards your organization reverts to the Consumer plan. Your rooms, recordings and history are kept, but Business-only features are locked until you renew. While the organization is on the Consumer plan, its recordings and transcripts follow the Consumer retention period of 90 days.
- Refunds. Fees are non-refundable except where required by law, where we materially reduce the Service (Section 2), or where we decide to make an exception. EU and UK consumers have a 14-day right of withdrawal for new subscriptions; if you ask us to start the Service during that period, you may have to pay for the days used.
- Taxes. Prices exclude taxes unless stated. Applicable sales tax, VAT or similar taxes are calculated at checkout and added to your bill.
- Price changes. We will tell you at least 30 days before a price increase takes effect. The new price applies from your next renewal after that notice. If you don't agree, you can cancel before it takes effect.
- Failed payments. If a payment fails, we may retry it, and if it still cannot be collected, we may downgrade your organization to the Consumer plan.
11. Third-party services
The Service relies on carefully selected service providers, described in our Privacy Policy: AI models provided by OpenAI and accessed through the Emergent platform, email delivery by Resend, payments by Stripe, and cloud hosting, database (MongoDB) and object storage infrastructure. Their services are subject to their own terms. We are responsible for choosing them and for requiring them by contract to protect your data.
12. Suspension and termination
You can stop using Adamic and delete your account at any time from Settings → Privacy center. Deleting your account is permanent; Section 6 of the Privacy Policy explains what happens to your data.
We may suspend or terminate your access, or remove content, if you seriously or repeatedly breach these Terms, if required by law, or if your use creates a risk to other users, to us or to the Service. Where practical, we will warn you first and explain why. If we terminate a paid subscription for reasons other than your breach, we will refund the unused part of the fees. Sections 6, 8 (to the extent licenses survive), 13, 14, 15, 16 and 17 survive termination (meaning they continue to apply).
13. Dispute resolution and binding arbitration
Please read this section carefully. It affects your legal rights.
Talk to us first. Before starting any formal claim, send a written description of the problem to legal@adamic.io. We will try in good faith to resolve it within 60 days.
Binding individual arbitration. If we cannot resolve a dispute informally, you and Adamic agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court. Arbitration means a neutral person (an arbitrator) decides the dispute instead of a judge or jury; the decision is final and can be enforced by a court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or its Commercial Arbitration Rules if you use Adamic for business purposes). Hearings may take place by video, by phone, or in the county where you live. We will pay the filing, administration and arbitrator fees beyond what you would pay to file a claim in court, unless the arbitrator finds your claim was frivolous.
Class-action waiver. You and Adamic agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding. This means you cannot join with other users to bring one combined case. The arbitrator may not combine more than one person's claims.
Small-claims exception. Either of us may bring an individual claim in small-claims court instead, as long as it stays there and qualifies.
30-day opt-out. You can opt out of this arbitration agreement by emailing legal@adamic.io within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your name and account email. If you opt out, disputes will be resolved in the courts described in Section 17.
EU, UK and other consumers. If you are a consumer living in the European Union, the United Kingdom or another country whose laws do not allow pre-dispute arbitration or class-action waivers for consumers, this Section 13 does not apply to you, and nothing in these Terms removes your mandatory rights, including your right to bring proceedings in the courts of the country where you live. EU consumers may also use the EU's online dispute resolution resources.
14. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", meaning we do not promise it will always work perfectly or be available without interruption. To the fullest extent the law allows, we disclaim all implied warranties, including warranties of merchantability (meaning fitness for ordinary use), fitness for a particular purpose, and non-infringement. We do not guarantee that translations, captions or summaries will be accurate (see Section 6), that meetings will never drop, or that the Service will be free of errors. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.
15. Limitation of liability
To the fullest extent the law allows:
- Adamic will not be liable for any indirect, incidental, special, consequential or punitive damages (meaning losses that do not flow directly from the problem, such as lost profits, lost data, lost business opportunities or reputational harm), even if we were told they were possible.
- Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $100.
These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, fraud, or, for EU and UK consumers, gross negligence or intentional misconduct.
16. Indemnification
If you use Adamic for business purposes, you agree to indemnify Adamic (meaning you agree to cover our costs, including reasonable legal fees, if someone makes a claim against us) and hold us harmless from claims by third parties arising from your content, your breach of these Terms, your violation of law, or your use of recordings and transcripts. We will notify you promptly of any such claim and let you control the defense, as long as you do not settle it in a way that admits fault on our behalf without our consent. This section does not apply to consumers where local law forbids it.
17. Governing law and courts
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules (meaning the rules that sometimes point to another state's or country's law), and by the US Federal Arbitration Act for Section 13. Where a dispute is not subject to arbitration, it will be decided by the state or federal courts located in Delaware, and you and Adamic consent to their jurisdiction. If you are an EU or UK consumer, you also keep the protection of the mandatory laws of your country of residence and may bring proceedings there.
18. Changes to these Terms
We may update these Terms from time to time. Each version has a version number and a "Last Updated" date at the top. If we make a material change (meaning one that significantly affects your rights or obligations), we will ask you to review and accept the new version the next time you sign in, and paid subscribers will be told by email at least 30 days in advance where the change is not required by law. If you do not accept the new Terms, you may stop using the Service and cancel your subscription.
19. General terms
These Terms, together with the policies they reference, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it (meaning we can still enforce it later). You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets, and we will tell you if that happens. Neither of us is liable for delays caused by events beyond reasonable control, such as natural disasters or widespread internet outages.
